Terms and Conditions

Shine Internet Ltd

The following document is a legal agreement between Shine Internet Ltd and our clients for web design and development services. Please review these terms carefully before engaging our services. For any clarification, contact us at info@shineinternet.co.uk or call 01299 879491.

1. Definitions

- **Shine Internet**, "we", "Warren Davies" refers to the primary designer/site owner and employees or affiliates of Shine Internet Ltd.
- **Client**, "you", "your" refers to the company or individual requesting our services.
- These terms govern the provision of web design and development services, including graphical design, HTML, CSS, and other programming languages, as well as related services like graphic design, photography, and email forwarding.

Waiving any term on an individual basis does not affect the validity of remaining clauses or commit Shine Internet Ltd to waive the same clause on other occasions.

2. Quotations

- Quotes are valid for 28 calendar days from the date of issue.
- The quoted price covers only the work agreed upon in the quotation and associated specification.
- Changes requested after work commences may incur additional charges, to be negotiated separately.

3. Acceptance of Work

- An advance deposit of 25% of the total project cost is required before work begins and is non-refundable once work starts.
- Client approval to commence work and payment of the deposit constitute acceptance of these terms.
- A deadline for submitting website content will be agreed upon. Failure to meet this deadline may result in a surcharge of up to 25%.
- If the client cancels the project, they remain liable for work completed and will be invoiced accordingly.

4. Material

Shine Internet Ltd reserves the right to refuse to handle:

Any unlawful or inappropriate media.
Media containing viruses or hostile programs.
Media involving harassment, racism, violence, obscenity, harmful intent, or spamming.
Media constituting a criminal offense or infringing privacy or copyright.

5. Copyright

**(a) Intellectual Copyright**
Shine Internet Ltd retains intellectual copyright of all material, including source code and original images, until the final invoice is paid. Upon full payment, intellectual copyright transfers to the client.

**(b) Client Responsibilities**
Clients are legally responsible for ensuring that provided images, text, animations, or other content do not infringe copyright. Images licensed from stock suppliers for the website may not be used in other publicity material. Clients must ensure compliance, and Shine Internet Ltd can clarify usage upon request.

6. Design Specifications

**(a) Browser Versions**
We strive to design pages compatible with popular current browsers but cannot guarantee compatibility with new browser versions released after design completion.

**(b) Mobile Devices**
We aim to ensure compatibility across devices but cannot guarantee perfect display on all tablets and mobile devices.

**(c) Domain and Hosting Costs**
Clients are responsible for domain registration costs. We recommend clients register their own domain names for full ownership. If we register a domain on the client’s behalf, we will transfer it upon request, subject to registrar fees.

**(d) Search Engine Optimisation**
Shine Internet Ltd is not responsible for ongoing website promotion. A separate contract is required for continued promotion. Search engine rankings are controlled by search engines, and we cannot guarantee promotion success.

**(e) Conceptualising**
Conceptualising involves creating website mock-ups, graphics, and design proposals. Clients should provide preferred color schemes and design requirements in advance. Without these, redesigns may incur additional charges. Providing an example website is recommended to align with client preferences.

7. Payment

**(a) Method**
Payments must be made via BACS or cheque in UK Pounds Sterling, payable to Shine Internet Ltd and delivered to our premises. We are not responsible for cheques lost in transit.

**(b) Returned Cheque Charge**
A £25 fee applies for cheques returned unpaid by the bank.

**(c) Invoice Payment Deadline**
Final payment is due within 30 calendar days of invoice issuance. Full website publication occurs only after full payment. We will contact clients via email or phone if payments are overdue.

**(d) Late Payment**
If payment is not received within 30 days, a final reminder will be issued. Website content may be removed if payment remains outstanding, with a minimum £50 restoration fee.

**(e) Late Payment Legislation**
Accounts unpaid within 14 days of the final reminder incur a 10% late payment charge on the outstanding amount.

8. Future Support

The website is provided as a fully functioning, completed work upon final payment. While we protect websites from malicious software, spyware, viruses, and hacking during creation, we are not responsible for issues arising from illegal activities post-completion. We are also not liable for website downtime due to server issues or for contact forms failing to deliver to the client’s email.

9. Compliance with Ecommerce, Accessibility, and Other Regulations

Clients are responsible for ensuring their website and content comply with regulations, including accessibility and ecommerce. We can research compliance on request, but for complex issues, we recommend clients seek legal advice from their company lawyer.

10. Compatibility

We ensure websites function correctly on the initial server and with current, vendor-supported browsers. Note that Microsoft Internet Explorer became obsolete in 2015 and should not be used. We cannot guarantee compatibility with unsupported browsers.

11. Website Hosting

While we offer hosting via third-party providers, we cannot guarantee service availability or interruption. Shine Internet Ltd is not liable for losses due to hosting issues, including loss of turnover, sales, revenue, profits, or indirect losses. We reserve the right to refuse handling offensive, illegal, or controversial material and to terminate hosting if necessary.

12. Your Privacy

We do not share or sell client details with third parties without express permission and will only contact clients regarding work-related matters. Agreeing to these terms does not affect your statutory rights.

13. Modifications

Shine Internet Ltd reserves the right to modify these terms at any time.
